Mise à jour : comme nous l’indiquons dans l’article, le résultat des enchères devait être validé par le juge en charge du dossier de Digital Domain. Le Wall Street Journal nous indique que l’audience a eu lieu ; le rachat est confirmé. Le juge a cependant critiqué l’attitude de Digital Domain, qui a opté pour une utilisation assez aggressive du fameux Chapter 11 (loi de protection des entreprises en cessation de paiement) : la vente s’est faite en moins de deux semaines, ce qui est particulièrement rapide. Le studio avait fait pression sur le tribunal, indiquant clairement que si ce dernier ne se pliait pas aux exigences de rapidité voulues par le studio, Digital Domain pourrait voir fuir ses clients et mettre la clé sous la porte. Une pression que le juge a manifestement peu apprécié.
Il a d’ailleurs précisé que lui et ses collègues, après en avoir discuté, n’accepteraient pas une vente aussi rapide. Les autres studios sont donc prévenus…

Nous vous l’indiquions ce week-end sur le forum 3DVF, la nouvelle est désormais officielle et confirmée par un communiqué de presse : Digital Domain, après ses problèmes financiers majeurs des dernières semaines, a trouvé un repreneur : une joint venture composée de Galloping Horse America et Reliance Mediaworks a remporté les enchères qui se sont tenues le 21 septembre.
Pour être précis, il ne s’agit pas du groupe entier (Digital Domain Media Group ou DDMG) mais surtout de la partie VFX, autrement dit des éléments de Digital Domain Productions Inc. (communément appelée Digital Domain tout court). Le montant des enchères s’élève à 30,2 millions de dollars, un peu plus de 23 millions d’euros.

La partie conversion 3D de Digital Domain Media Group, de même que l’école de Floride ou la partie animation (qui s’était lancée dans le projet de long-métrage Legend of Tembo) ne font donc pas partie du rachat.

Galloping Horse, groupe dont le siège mondial se situe près de Pékin, possède 70% des parts de la joint venture, contre 30% pour l’indien Reliance.
La joint-venture Galloping Horse-Reliance met la main sur tous les biens de Digital Domain Productions Inc. et de l’entité Mothership de DDMG : studios de Californie et Vancouver ainsi qu’une partie des parts de la coproduction du film Ender’s Game.

Le communiqué précise que le travail se poursuivra sans encombre au sein des studios, une information bien évidemment stratégique : on sait que DDMG avait voulu une vente rapide pour éviter que des clients inquiets n’aillent voir ailleurs, ce qui aurait définitivement tué le studio. L’heure est donc à l’apaisement et la volonté est clairement de rassurer les clients actuels ou potentiels.
Sans surprise, le CEO de Digital Domain (Ed Ulbrich) se félicite de la nouvelle, soulignant la force financière des acquéreurs.

Le fond d’investissement Searchlight Capital Partners, pressenti il y a quelques jours pour le rachat de Digital Domain, ne semble avoir mis sur la table que 15 millions de dollars, et a donc jeté l’éponge face à l’offre sino-indienne.

Galloping Horse ne sera pas inconnu de ceux qui suivent l’actualité de Digital Domain : un partenariat avait été annoncé en janvier dernier entre cette entreprise et Digital Domain, comme nous le relations sur 3DVF, avec pour objectif de créer un studio VFX en Chine.

Notons toutefois que le rachat doit être validé aujourd’hui par un tribunal ; la ville de Port St Lucie en Floride, qui accueillait le nouveau studio de Digital Domain et l’école d’animation au point mort, a lancé une « objection limitée » à cette vente. En jeu, le fait que certains biens de Digital Domain appartiennent en fait à la ville, principalement de coûteux équipements informatiques. On imagine que cela n’entravera pas la vente : il s’agit plutôt pour Port St Lucie de récupérer ses biens.

Enfin, une class action a été lancée contre Digital Domain Media Group : elle accuse DDMG de ne pas avoir communiqué sur le fait que la vitesse à laquelle le groupe dépensait de l’argent mettait son existence même en péril financier. La class action s’adresse à tous les actionnaires ayant acheté des parts de DDMG entre le 18 novembre 2011 et le 11 septembre 2012.

Galloping Horse America and Reliance MediaWorks Jointly Submit Winning Bid to Acquire Assets of Digital Domain and Mothership in Digital Domain Media Group Bankruptcy Auction

Beijing, China; Mumbai, India and Venice, Calif.—September 23, 2012— Digital Domain Media Group, Inc. (“DDMG”) (OTCQB: DDMGQ) announced today that a joint venture, led by Galloping Horse America, LLC (“Galloping Horse”), in partnership with Reliance MediaWorks (USA), Inc., (“Galloping Horse – Reliance”) submitted the winning bid to acquire the visual effects, Mothership Media (“Mothership”) and certain other businesses and assets of Digital Domain Productions, Inc. (“Digital Domain”) and subsidiaries for $30.2 million at a September 21, 2012 auction in New York. The sale is subject to execution of an asset purchase agreement and Bankruptcy Court (“Court”) approval, the hearing for which is currently scheduled for Monday, September 24, 2012.

Galloping Horse—Reliance will acquire all assets constituting the businesses of Digital Domain and Mothership — feature film and advertising visual effects, commercial production and virtual humans, studios in California and Vancouver, BC, Canada and a co-production stake in the feature film Ender’s Game. Pursuant to section 363 of the Bankruptcy Code, Galloping Horse – Reliance will acquire these assets free and clear of all claims and encumbrances, with the proceeds going to the bankruptcy estate. The businesses will continue to operate in the normal course of business, with the joint venture assuming ownership upon Court approval.

As previously announced, Searchlight Capital Partners had submitted a stalking horse bid for the Digital Domain and Mothership assets in the amount of $15 million. Under the Bankruptcy Code DDMG was required to engage in the process of seeking the highest and best bid for these assets in accordance with the bid procedures approved by the Court.

DDMG filed voluntary petitions for relief under Chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware on September 11, 2012 and ancillary relief in Canada, pursuant to the Companies’ Creditors Arrangement Act (CCAA) in the Supreme Court of British Columbia, Vancouver Registry on September 18, 2012.
